1. Acceptance of Terms

By accessing or using the website at socialpiper.surf (the Site) and the services offered by Eatid, Inc., operating as Social Piper (we, us, or our), you agree to be bound by these Terms of Service (Terms). If you do not agree to these Terms, please do not use the Site or our services.

These Terms constitute a legally binding agreement between you (the User) and Social Piper. We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Site after modifications indicates your acceptance of the updated Terms.

2. Services Description

Social Piper provides computer systems design, systems integration, technical consulting, managed infrastructure, and related professional services (the Services). The specific scope, deliverables, timelines, and fees for Services are defined in separate service agreements or statements of work executed between Social Piper and its clients.

Information on the Site regarding our Services is for general informational purposes only and does not constitute a binding offer to provide Services. Any engagement for Services shall be governed by a separate written agreement between the parties.

All content on the Site, including text, graphics, logos, icons, images, and software, is the property of Social Piper or its content suppliers and is protected by applicable intellectual property laws.

You may view, download, and print content from the Site for personal, non-commercial use provided you do not modify, reproduce, distribute, or create derivative works without our prior written consent. All trademarks and service marks appearing on the Site are the property of their respective owners.

5. Confidentiality

During our engagement, we may exchange confidential information. Each party agrees to maintain the confidentiality of the other party's information, use it only for the purpose of the engagement, restrict access to personnel who need it, and return or destroy it upon request. These obligations survive termination for three years, or indefinitely for trade secrets.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Social Piper, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or our Services.

Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount paid by you to us for the specific Service giving rise to the claim during the twelve-month period preceding the event. This limitation applies regardless of the theory of liability.

7. Disclaimer of Warranties

The Site and its content are provided on an as-is and as-available basis without any warranties, either express or implied. Social Piper disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses. Our Services are delivered with professional care in accordance with industry standards, but we cannot guarantee error-free results. Any warranties regarding Services are as expressly set forth in the applicable service agreement.

8. Indemnification

You agree to indemnify and hold harmless Social Piper, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, and expenses arising out of or related to your breach of these Terms, violation of applicable law, or use of the Site in a manner not expressly authorized.

9. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for any reason. For Services engagements, termination rights are as set forth in the applicable service agreement. Sections that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty days, either party may submit the dispute to binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

11. Force Majeure

Neither party shall be liable for failure or delay in performing obligations under these Terms caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government actions, labor disputes, supply chain disruptions, pandemic, or telecommunications failures.

12. Entire Agreement

These Terms, together with applicable service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Social Piper regarding your use of the Site and supersede all prior communications, representations, or agreements.

If any provision is found unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver.
